"Kernel" sold a major agricultural asset in Kharkiv region for $25 million

Agroholding "Kernel" in May 2026 sold an agricultural enterprise in Kharkiv region, which managed approximately 14.3 thousand hectares of leased agricultural land. The monetary sum of the deal was $24.931 million.

This is stated in the annual report of Kernel Holding for the 2026 financial year.

The purchaser is not named in the report itself. At the same time, the Antimonopoly Committee of Ukraine on March 19 allowed Agroton Public Limited to acquire control over LLC "Mriia". Law firm Asters, which accompanied the deal, specified that "Agroton" was buying "Mriia" precisely from "Kernel".

According to the "Kernel" report, net assets of the sold enterprise at the date of transaction were valued at only $2.129 million. The company recorded a profit from the sale of $22.802 million.

Net cash inflow from the deal was $24.919 million. "Kernel" received from the purchaser $24.931 million in cash compensation, but together with the enterprise $12 thousand of its cash and equivalents were disposed of.

After the transaction completion, "Kernel" did not retain any share in the sold enterprise.

The sale concerned not only land lease rights. In another section of the annual report the company notes that together with approximately 14 thousand hectares of land bank in Kharkiv region related agricultural machinery and a grain elevator were alienated.

In "Kernel" the transaction is explained by portfolio optimization and the desire to concentrate the land bank in key for the company operational regions, increasing the density of asset placement.

The sale occurred almost simultaneously with a much larger deal on expansion of the agricultural business of "Kernel". In April the company acquired 100% of Enselco Holding Limited for $348 million.

Together with Enselco "Kernel" received about 190 thousand hectares of leased land, a network of grain elevators, agricultural machinery and equipment, a fleet of grain carriers and other assets.

After the acquisition of Enselco and sale of Kharkiv asset, the total area of leased land under operational management of "Kernel" reached 530 thousand hectares. This is 48% more than a year earlier.

Based on the results of 2026 financial year, the agricultural segment of the company produced 2.3 million tons of agricultural products. Its EBITDA grew by 31% to $241 million.
