The Antimonopoly Committee of Ukraine allowed the Polish insurance group PZU to acquire 100% of the shares of the Ukrainian company "MetLife" (MetLife Ukraine). At the same time, the regulator set a number of mandatory conditions aimed at protecting customers and competition in the life insurance market.
The corresponding decision was made by the AMCU on October 20, and on October 21 published detailed conditions for approving the deal.
During the application review, the regulator established that the combined share of the transaction participants in the market of classical endowment life insurance exceeds 35%. This creates risks of restricting competition, particularly through the possibility of the new owner's influence on insurance intermediaries and the conditions for selling policies.
To prevent such consequences, PZU undertook a number of obligations. The company must not, without objective reasons, set different conditions for equivalent agreements with insurance intermediaries, impose additional services on them, or hinder the work of competitors.
Separate guarantees are provided for existing MetLife customers. After the completion of the acquisition, the new owner must ensure the continuous fulfillment of endowment life insurance contracts, including insured events that occurred before the change of control over the company.
Also, PZU committed to maintaining the availability of insurance products, proper quality of service, and the level of service personalization. Thus, the AMCU seeks to prevent deterioration of the position of policyholders after the change of ownership.
According to information from the Polish insurance group PZU, obtaining the AMCU permit is another stage of the deal agreed upon by the parties in the spring of 2026. However, the acquisition is not yet complete: the companies need to obtain approval from the National Bank of Ukraine and fulfill other prescribed conditions.
"MetLife" is the largest participant in the Ukrainian life insurance market. According to PZU, the company controls about 50% of this market and serves approximately 900,000 customers. The acquisition of the insurer is expected to strengthen the Polish group's position in Ukraine and expand its presence in Central and Eastern Europe.
Earlier, Kurs.com.ua reported on the conclusion of a conditional agreement for the acquisition of MetLife. Now the companies have received the necessary permit from the antimonopoly regulator, but the final completion of the transaction depends on other approvals.
