The company "NovaPay Invest", associated with the Nova group, which includes "Nova Poshta" and the financial service NovaPay, officially announced its intention to acquire 100% of the shares of BTA Bank. This is a new stage in the group's plans to enter the Ukrainian banking market.
The corresponding notification was published in the SMIDA system on October 23, 2026. The document is addressed to the National Securities and Stock Market Commission (NSSMC) and BTA Bank itself.
According to the document, "NovaPay Invest" intends to acquire 20 million common registered shares of BTA Bank, which constitutes 100% of their total number. As of the notification date, the company and its affiliated persons did not own any shares of the financial institution.
The notification was signed by the director of "NovaPay Invest", Hanna Dvoretska. It was drawn up in accordance with Article 91 of the Law of Ukraine "On Joint Stock Companies".
At the same time, an official notification of intention to acquire shares does not yet mean the completion of the transaction. The document does not disclose the purchase price, agreed terms for the bank's transition under the control of the new owner, and results of necessary regulatory procedures.
The preparation of the Nova group for the acquisition of the bank became known back in June 2026. Then "Ekonomichna Pravda" reported that the parties signed a memorandum on the future purchase of BTA Bank. The process was planned to be completed by the end of summer, however, as of October, the deal has not yet been completed.
According to preliminary plans, after the acquisition of BTA Bank, the Nova group is considering the possibility of re-registering its full banking license into a limited one - to operate in the format of a financial inclusion bank.
This format involves providing basic financial services to the population and small businesses, in particular in remote settlements where access to traditional banking infrastructure is limited. At the same time, financial inclusion banks are subject to special restrictions regarding lending to large businesses and certain operations in the financial market.
For NovaPay clients, a potential change may be access to bank deposits and other services that require a banking license. Currently, the company offers its own bonds. Unlike deposits in banks, such investments are not covered by the deposit guarantee system for individuals.
Earlier, "Kurs Ukrainy" reported that the Nova group considered the acquisition of BTA Bank as a way to obtain banking infrastructure and expand its financial business. Now the company has documented its intention to acquire a specific block of shares, but no actual transfer of ownership has been announced yet.
