American company Anthropic, developer of the AI Claude, has officially filed for an initial public offering (IPO) in the US. The company plans to list on Nasdaq under the ticker ANT, though final offering terms have not yet been determined.
Anthropic reported this on October 26 in a statement, confirming the submission of Form S-1 registration statement to the US Securities and Exchange Commission (SEC). Details from the disclosed prospectus are also provided by TechCrunch.
Anthropic intends to list Class A shares on Nasdaq under the symbol ANT. The number of shares to be offered, price range, and total capital raised have not yet been set.
Goldman Sachs and Morgan Stanley are serving as lead underwriters for the offering. According to the published documents, the registration statement has not yet become effective, so the company cannot yet begin selling shares to investors.
As The Wall Street Journal reports citing sources, the offering could happen as early as November, likely during the week of November 16. According to preliminary estimates from the publication's sources, the company could raise over $100 billion at a business valuation of $1.5 trillion to $2 trillion.
However, these parameters remain market participant forecasts and are not confirmed by the official IPO terms.
The public prospectus has for the first time officially disclosed Anthropic's financial performance and governance structure ahead of the listing. For the first half of 2026, the company's revenue reached $16.3 billion, compared to $1.2 billion in the same period last year.
At the same time, the net loss reached $80.7 billion. Most of this amount is related to non-cash accounting adjustments to the value of convertible liabilities, rather than direct cash expenses. The operating loss for the half-year was $693 million, compared to $2.1 billion a year earlier.
The filings also show that by the end of September, Anthropic served more than 11,900 corporate customers, each generating at least $100,000 in annual revenue. Over 1,900 customers brought the company more than $1 million per year, and about 250—more than $10 million.
Special attention in the prospectus is given to the corporate governance structure after the listing.
Seven of Anthropic's co-founders, including CEO Dario Amodei and company president Daniela Amodei, will retain control of 50.1% of shareholder votes. This is enabled by a special Founder LLC structure with a unique class of shares.
Additionally, the previously established Long-Term Benefit Trust will retain the right to appoint a majority of the board of directors. Anthropic explains this system as necessary to protect the company's long-term goals related to the safe development of artificial intelligence.
Proceeds from the future offering are planned to be used for ongoing operations, development of computing infrastructure, hiring, and other corporate needs. The company also allows for the use of part of the raised capital for acquisitions and investments.
In the documents, Anthropic warns potential shareholders of significant expenses for developing advanced AI models, dependence on computing capacity suppliers, and regulatory risks.
Previously, Kurs.com.ua reported on Anthropic's financial results revealed from the preliminary IPO prospectus. At that time, the company had not yet filed the final public registration statement.
The current publication of the Form S-1 marks the transition to the official stage of the offering's preparation. The next step will be agreeing on share sale terms and conducting meetings with potential investors.
