The Antimonopoly Committee of Ukraine has allowed American Uber Technologies to acquire German Delivery Hero, which owns the Glovo delivery service. This decision removes one of the regulatory hurdles for the international deal, after completion of which the Ukrainian business of Glovo is to come under Uber's control.
The corresponding permission was granted by the AMCU on November 5, 2026.
According to the regulator's decision, Uber Technologies Inc. received permission to acquire indirect control over Delivery Hero SE through its subsidiary Uber International Technologies II Corporation.
This is one of the largest international deals in the field of food and goods delivery. The American company plans to merge its business with Delivery Hero platforms operating in dozens of countries.
However, the permission of the Ukrainian Antimonopoly Committee does not mean that the takeover is already completed. To close the transaction, it is necessary to fulfill other conditions stipulated by the agreement, in particular, to obtain the necessary approvals from regulators in other jurisdictions.
The deal is estimated at almost $15 billion
Uber announced the agreement to acquire Delivery Hero on July 16.
The American company offered the shareholders of the German service €41.50 per share in cash. According to Uber's estimate at the time of the announcement, this corresponded to the value of the entire share capital of Delivery Hero at approximately $14.8 billion.
Taking into account the shares previously acquired by Uber, the value of the offer was estimated at approximately $13.7 billion.
The terms of the takeover provide for Uber gaining control over Delivery Hero's business in 50 countries. The list includes Glovo, foodpanda, PedidosYa, Hungerstation and other local delivery platforms.
After the merger, Uber and Delivery Hero will operate in a total of 99 markets. According to the companies' data, the combined gross order volume of their platforms for 2025 amounted to $236 billion.
The future of Glovo in Ukraine
The Ukrainian business of Glovo is included in the list of Delivery Hero assets that Uber is to receive under the terms of the deal.
At the same time, Delivery Hero agreed on a separate sale of part of the business in 14 countries to the American investment company SSW Partners for approximately $1.6 billion. These are mostly markets where Delivery Hero services compete with the Uber Eats platform.
In particular, SSW Partners is to receive Glovo operations in Spain, Portugal, Poland, Romania and Moldova.
Ukraine is not included in this list. According to the official terms of the deal, the Ukrainian business of Glovo will remain part of the Delivery Hero assets that Uber plans to acquire.
At the same time, the AMCU approval itself does not imply an immediate change of the Glovo brand, delivery prices, commissions for restaurants or working conditions for couriers.
The companies have not yet reported specific changes in the operation of the Ukrainian service after the future completion of the takeover.
Completion of the deal is expected in 2027
The deal provides for Uber gaining control over at least 50% plus one share of Delivery Hero, taking into account the securities already owned by it.
Delivery Hero's management recommended that shareholders accept the offer of the American company. The period for tendering shares within the main offer was set until November 5, 2026.
In a statement dated November 4, Delivery Hero confirmed that it expects the takeover to be completed in the second half of 2027, subject to the fulfillment of all necessary requirements and receipt of regulatory approvals.
Thus, the AMCU decision is another stage in the implementation of the international deal, but the actual transfer of the Ukrainian business of Glovo to Uber's control will take place only after its closing.
